1. Introduction
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "your") and ZENTOO PRO Private Limited ("Company," "we," "our," or "us"). These Terms govern your access to and use of the ZENTOO PRO website, mobile application, and related services (collectively, the "ZENTOO PRO Platform").
By accessing, registering on, or using the ZENTOO PRO Platform, you agree to comply with these Terms, our Privacy Policy, and any additional rules, guidelines, or policies that may be published or communicated by the Company from time to time. If you do not agree to these Terms, you must immediately discontinue your use of the Platform.
The Company reserves the right to amend these Terms, the Privacy Policy, and any related policies or guidelines at any time. Any changes shall become effective immediately upon being published on the ZENTOO PRO Platform, and your continued use of the Platform following such changes constitutes your acceptance of the revised Terms.
2. Role of the Platform
The Company acts solely as a technology-enabled digital intermediary that facilitates connections between daily wage workers and contractors by providing services such as job discovery, job listings, communication, and related tools.
The Company does not employ, recruit, supervise, manage, represent, or guarantee employment opportunities for any Worker or Contractor. Once contact is established, any agreement or arrangement entered into is solely between the Worker and the Contractor. The Company is not a party to such agreements and assumes no responsibility or liability for their execution, performance, conduct, or outcome.
3. Types of Users and Eligibility
By using the ZENTOO PRO Platform, you confirm that:
- Contractor: An individual or entity authorized to post, manage, and recruit workers for daily wage employment opportunities.
- Worker: An individual seeking employment or work opportunities through the Platform.
- Age and Residency: You are 18 years of age or older and currently reside in India.
- Capacity: You have the legal right, authority, and capacity to enter into and comply with this Agreement.
- Registration: Only users who have successfully completed the registration process using a valid email address and/or mobile phone number shall be eligible to post jobs, browse listings, or apply for employment opportunities.
4. Limited License
Subject to your continued compliance with these Terms, the Company grants you a limited, non-exclusive, revocable, and non-transferable license to access and use the ZENTOO PRO Platform. You shall not acquire any ownership or proprietary rights in the Platform, its software, or any related documentation provided to you.
Except as expressly permitted, you shall not copy, modify, translate, reverse engineer, decompile, redistribute, sell, lease, rent, sublicense, assign, or commercially exploit any part of the Platform or its software.
5. Platform Administration Rights
The Company reserves the absolute and unrestricted right, at its sole discretion, to:
- Restrict, suspend, or terminate a user's access to all or any part of the Platform.
- Modify, suspend, discontinue, or remove any part of the Platform or user-submitted content.
- Deactivate or permanently delete any user account and all associated files and data.
- Establish general operating policies, procedures, and usage guidelines.
- Transfer its rights and obligations relating to user accounts to another entity, provided that users are notified through their registered email addresses.
If a user violates these Terms, or if the Company reasonably suspects unlawful, fraudulent, or improper use, the Company may, without prior notice, restrict access, delete the user account, remove posted content, and take necessary technical or legal action.
6. User Conduct
Users must comply with these Terms, as well as all applicable laws, rules, and regulations. Any violation may result in the suspension of the user's account, restriction of access, or permanent deletion of data. Upon account deactivation, any unused account balance may be refunded to the user's registered bank account after deducting applicable processing fees.
The following activities are strictly prohibited:
- Operating multiple user accounts, using third-party automation tools or bots, or reverse engineering system software.
- Engaging in cyberattacks, data mining, impersonation, or disrupting platform services.
- Publishing or distributing obscene, defamatory, illegal, misleading, or infringing content.
- Promoting unauthorized commercial services, or engaging in activities that threaten national security, public order, or the sovereignty and integrity of India.
7. Guidelines for Contractors
- Honesty and Accuracy: Service descriptions, profiles, and offers must accurately represent the services provided. Listing services under incorrect categories, misrepresenting locations, using misleading titles, or publishing fraudulent information is strictly prohibited.
- Valid Credentials: Contractors must possess and maintain all licenses, certifications, registrations, and authorizations legally required to provide their services.
- Direct Wages: Contractors are solely responsible for paying Workers directly upon completion of work. The Company will not intervene in disputes relating to wages, payments, or compensation.
- Violations: Violations may result in the removal of listings, account restriction or suspension, reduced ratings, blacklisting, withholding of outstanding payments, refusal of future registrations, and/or legal action.
8. Guidelines for Workers
- Job Acceptance: Workers should accept only those jobs that they genuinely intend to complete and for which they possess the necessary qualifications, skills, and ability.
- Prohibited Conduct: Misusing platform features, making false promises, or disrupting recruitment activities is strictly prohibited and may result in account suspension or legal action.
- Insurance Coverage: The Company provides accidental insurance coverage for registered Workers during active assignments secured through the Platform, subject to the specific terms, conditions, limitations, and exclusions of the insurance policy provider. Workers are responsible for complying with all policy requirements to remain eligible for coverage. The Company does not act as an insurer or insurance underwriter.
- Compliance: Workers must comply with all local, state, and national laws, including obtaining any required personal licenses or statutory certifications required for their specific line of work.
- Direct Payments: Upon completion of accepted work, Workers are entitled to receive full payment directly from the Contractor through the Contractor's chosen payment method.
9. Disclaimer of Liability
B. Liability Disclaimer for Workers (Regarding Contractors)
The Company serves only as a platform to connect Workers with Contractors. The Company expressly disclaims any liability arising from, including but not limited to, the following:
- Failure of a Contractor to pay the agreed remuneration in full, partially, or on time.
- Unilateral modification, reduction, or non-compliance by the Contractor with the agreed payment terms.
- Any physical injury, disability, illness, or death suffered by a Worker while performing work or arising from work-related activities, beyond the specific coverage and compensation limits provided by the third-party accidental insurance policy arranged by the Company. The Company shall not be held liable for the rejection of any insurance claim by the third-party insurance provider.
- Harassment, discrimination, unsafe working conditions, or any form of misconduct experienced by a Worker at the workplace.
- Any accident or unforeseen incident occurring at the workplace or while traveling to or from the workplace that falls outside the scope of the provided accidental insurance policy.
- Any dispute relating to the scope of work, working hours, or working conditions.
- Failure of the Contractor to provide appropriate safety equipment, training, or a safe working environment.
Workers are strongly advised to independently verify the legitimacy and safety of any work opportunity, the identity of the Contractor, and the applicable terms before accepting any assignment.
10. No Employment or Agency Relationship
Nothing contained in these Terms, nor any use of the ZENTOO PRO Platform, shall be construed as creating an employment relationship, agency, partnership, joint venture, or franchise relationship between the Company and any User. Furthermore, the Company does not determine, control, or influence wages, working hours, employment terms, work performance, or any other conditions of employment or contractual engagement between Users.
11. Fees, Subscriptions, and Taxes
- Fees and Subscriptions: The Company may, at its sole discretion, charge Contractors and/or Workers fees or require a paid subscription to access or use certain features, tools, or services offered through the Platform.
- Direct Payments: The Company does not facilitate, process, or participate in any payments between Users for services rendered. All financial terms are governed solely by the agreement between the Contractor and the Worker.
- Tax Responsibility: All fees and charges payable to the Company are inclusive of applicable taxes unless otherwise stated. The Company acts solely as an intermediary and does not provide tax advice. Users are individually responsible for reporting and fulfilling their respective tax obligations.
12. Intellectual Property
The ZENTOO PRO Platform, including all content, software, designs, graphics, text, trademarks, logos, databases, and other materials, is the exclusive intellectual property of the Company and is protected under applicable intellectual property laws. No content may be copied, reproduced, distributed, modified, published, or commercially exploited without the Company's prior written consent.
All copies, translations, adaptations, modifications, or derivative works created through your use of the Platform shall be the exclusive property of the Company.
13. Third-Party Sites, Services, and Products
- External Links: The Platform may contain links to third-party websites or mobile applications. The Company does not control, endorse, or assume responsibility for the content, privacy practices, or operations of any third-party platforms.
- Independent Transactions: Any interaction, agreement, or transaction between a User and any third party (including payment processors like Razorpay or background verification providers) is solely between the User and such third party.
- Third-Party Content: Although the Company may moderate third-party content (such as job postings or user profiles) on the Platform, it does not guarantee its accuracy, authenticity, or reliability.
14. Limitation of Liability
To the fullest extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of income, business interruption, loss of data, personal injury, accident, disability, death, theft, fraud, or disputes between users, arising out of or relating to your use of, or inability to use, the Platform.
15. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its subsidiaries, affiliates, officers, directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your violation of these Terms, your act, omission, negligence, or misconduct, or your infringement of the rights of any third party.
16. Dispute Resolution
- Amicable Settlement: In the event of any dispute, the parties shall first attempt to resolve the matter amicably through mutual discussions within thirty (30) days following written notice.
- Arbitration: If unresolved, the dispute shall be referred to arbitration in accordance with the Rules of the Mumbai Centre for International Arbitration (MCIA). The arbitration shall be conducted by a sole arbitrator, held in Pune, Maharashtra, India, and conducted in the English language.
- Injunctive Relief: Either party may seek interim or permanent injunctive relief from a court of competent jurisdiction in Pune, Maharashtra.
- Governing Law: These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction granted to the courts located in Pune, Maharashtra, India.
17. Miscellaneous
- Independent Parties: The Company is not a party to any service agreement (oral or written) between Users. Users are independent contractors, and no employment, partnership, or agency relationship is created.
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between the User and the Company.
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Support: For general inquiries or technical support, users may contact the customer support team at support@ZENTOOPRO.com. For payment gateway disputes, users may directly contact Razorpay Support. Support requests will be addressed reasonably, ideally within 48 hours.
